2. The Services
Prism is a matching service. It started in advisory and is industry-agnostic. A Client describes an opportunity in plain language or uploads a job description, and our AI drafts a structured brief for the Client to review and confirm. Experts are matched and presented to the Client anonymously across the Facets, using criteria set by our industry recruitment specialists and informed by each Expert’s onboarding selections. The Client selects up to five Experts per role to receive a role-specific Pulse™, our spoken check-in conducted by our voice agent Alex, and sets the Pulse window. Once the Client pays the administration fee described in section 10, the Pulses are sent. A qualified talent lead reviews the results, and a curated list with Expert details is shared with the Client. The Client then selects who to connect with, and Prism introduces the parties by email. Any further interviews and engagement are arranged directly between the Client and the Expert.
We may add, change or remove features from time to time, and will give reasonable notice of material changes where practicable.
3. Relationship of the parties
Prism introduces Experts and Clients. Prism is not the employer of any Expert, is not a party to any engagement, employment or advisory contract formed between a Client and an Expert, and does not supply the services an Expert provides to a Client.
- For a placement, Prism’s operational role ends when it introduces the Client and Expert by email. Any interview, engagement or employment that follows is arranged and contracted directly between them.
- The Client and the Expert are responsible for the terms of any engagement or advisory session between them.
- The Client is responsible for correctly classifying any worker it engages, and for related obligations such as pay, superannuation, tax, insurance and workplace safety, unless we agree otherwise in writing.
- For paid advisory sessions, the Expert provides the services, not Prism. Payment is processed and held by our payments provider, Stripe, and released to the Expert on confirmation. Prism does not hold the funds. See section 10.
- Prism does not guarantee the performance, conduct, quality or suitability of any Expert or Client.
4. Eligibility and accounts
- You must be at least 18 years old to use the Services.
- You must provide accurate, current and complete information, and keep it up to date.
- You are responsible for activity under your account and for keeping your credentials secure.
- You must notify us promptly of any unauthorised use of your account.
5. Nature and limits of the Services
Please read this section carefully.
- Screening Outputs are decision-support tools. They are not a decision, a recommendation to hire or reject, or a guarantee of suitability, performance or outcome.
- AI is used to accelerate the workflow, including drafting briefs and surfacing and ranking a matched pool. Prism does not decide who a Client interviews or engages. The Client decides and remains responsible.
- We assess separate Facets and do not produce a blended or black-box overall score.
- Timeframes we mention, including any shortlist timeframe, are targets and estimates, not guarantees.
- We take reasonable steps to verify Expert information, but verification is not a guarantee of the accuracy, completeness, identity or credentials of any Expert. Clients should do their own checks appropriate to the role.
- We do not warrant that using the Services will, on its own, make a Client’s hiring decisions legally compliant. The Client is responsible for its own compliance.
6. Client obligations
If you are a Client, you agree that:
- You are the decision-maker for your roles and are responsible for your recruitment and engagement decisions.
- You will comply with all applicable laws, including anti-discrimination and equal opportunity laws such as the Age Discrimination Act 2004 (Cth), Disability Discrimination Act 1992 (Cth), Racial Discrimination Act 1975 (Cth), Sex Discrimination Act 1984 (Cth), the Fair Work Act 2009 (Cth), and relevant state and territory laws.
- The brief you confirm, including any AI-drafted brief, is your responsibility, and its requirements will be lawful, non-discriminatory and genuinely relevant to the role.
- You will not use Screening Outputs as the sole basis for a decision that significantly affects an Expert, and you will apply your own judgement.
- You will meet your own privacy and notification obligations to any Expert you interview or engage.
- You will keep Expert information confidential and use it only for the role it was provided for.
7. Expert obligations
- You will provide accurate information about your identity, experience, qualifications and credentials.
- You will hold and maintain any credentials, checks or registrations a role requires.
- You will not misrepresent yourself or submit information you are not entitled to share.
- You consent to being included in the Knowledge Bank and surfaced to relevant Clients, and to your information being used for matching as described in our Privacy Policy.
8. Pulse™ and AI interviews
The Pulse™ check-in is spoken, is conducted by our voice agent Alex, and is recorded. By taking part, you consent to the recording, transcription and processing of your responses to build your profile and gather role-specific evidence, as described in our Privacy Policy. We do not analyse your voice for tone, emotion or personality. You can decline to be recorded by contacting us, though this may limit how you can be matched.
9. Referrals and referral fees
- You may refer another Expert, or log a role you cannot take, through the referral features.
- A referral fee is payable only if Prism makes a Placement that we determine resulted from your referral, and only on the terms and at the share we publish or agree at the time.
- We decide, acting reasonably, whether a Placement resulted from a referral, and when a fee is earned and paid.
- You are responsible for your own tax on any referral fee, and you must not make false or misleading referrals.
- We may change, suspend or withdraw the referral program, or these referral terms, on reasonable notice.
10. Fees and payment
- It is free for an Expert to create a profile and be matched, and free for a Client to create an account and post a brief. Being matched will remain free for Experts. We may offer optional paid features in future, and will tell you the price before you buy anything.
Screening and placement
- After reviewing the anonymised shortlist, a Client selects up to five Experts per role to receive a role-specific Pulse™ and sets the Pulse window. To proceed and send the Pulses, the Client pays an administration fee. The Client may add more Experts for an additional fee each.
- The administration fee is currently $500 per role, covering up to five Pulses, plus $100 for each additional Expert. During our beta phase these are discounted by 50 per cent, to $250 per role and $50 for each additional Expert. Current prices are shown before you pay.
- The administration fee is not refundable. It covers the cost of preparing and delivering the Pulses, including the technology behind the voice agent and the recruiter time to build the interview templates, which we incur once you proceed.
- If the Client makes an offer or the engagement otherwise proceeds, Prism invoices a platform fee. The platform fee is a percentage set out in the Client’s order or engagement terms and agreed before it applies, calculated on: the Expert’s first-year base salary for a permanent role; or the total contract or project value, capped at 12 months, for a contractor engagement or consulting project. The base administration fee already paid for that role is credited against the platform fee. Additional-Pulse fees are not credited.
- The Expert’s remuneration is a matter between the Client and the Expert. Prism does not pay the Expert in the placement path.
- A Client’s nominated budget is used as a matching criterion. Enterprise Clients may be offered volume-based pricing.
Advisory sessions
- For a paid advisory session, the Client pays the session fee through our payments provider, Stripe. Stripe holds the funds and releases them to the Expert, less Prism’s fee, once both the Client and the Expert confirm the session took place.
General
- The administration and additional-Pulse fees are charged through Stripe when the Client proceeds, and the platform fee is invoiced afterwards. Payments are processed by Stripe and subject to Stripe’s terms, and card details are handled by Stripe, which Prism does not store.
- Unless stated otherwise, fees are exclusive of GST, which is added where it applies.
11. Acceptable use
You must not:
- Use the Services unlawfully, or for any discriminatory or harassing purpose.
- Access accounts, data or systems you are not authorised to access.

- Introduce malware or interfere with the security or operation of the Services.
- Reverse engineer or try to derive the underlying models, logic or Knowledge Bank, except as the law permits.

12. Confidentiality
Each party may receive confidential information from the other. The receiving party must keep it confidential, use it only for the Services, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

14. Third-party services
The Services may rely on or link to third-party products and services. We are not responsible for them, and your use of them may be subject to their own terms.
15. Privacy
Our handling of personal information is described in the Prism Platform Privacy Policy, which forms part of these Terms. By using the Services you acknowledge that policy.
16. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any right, remedy, guarantee, warranty or term implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded. Where the Australian Consumer Law applies and permits us to limit our liability, our liability is limited, at our option, to re-supplying the Services or paying the cost of re-supply.
17. Disclaimers
To the extent permitted by law, and subject to section 16, the Services are provided on an "as is" and "as available" basis, and are currently provided on a beta basis, which means they may change, be incomplete or contain errors. We do not warrant that the Services will be uninterrupted or error-free, that Screening Outputs will be accurate, complete or fit for a particular purpose, or that any timeframe or match will be achieved. You are responsible for your own decisions and for meeting your own legal obligations.
18. Limitation of liability
To the extent permitted by law, and subject to section 16:
- Neither party is liable for indirect, special or consequential loss, or for loss of profit, revenue, data, goodwill or anticipated savings.
- Our total liability arising from or connected with the Services is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim. We are not liable for decisions a Client or other User makes using Screening Outputs, or for any engagement or advisory session between a Client and an Expert.
19. Indemnity
To the extent permitted by law, you agree to indemnify us against loss and liability arising from your breach of these Terms, your misuse of the Services, your recruitment or engagement decisions, or your breach of any law, including anti-discrimination or privacy law, except to the extent the loss is caused by us.
20. Suspension and termination
- You may stop using the Services and close your account at any time.
- We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Services or other Users, with notice where practicable.
- On termination, your right to use the Services ends. Terms that by their nature should survive will survive, including intellectual property, confidentiality, liability and indemnity.
21. Changes to these Terms
We may update these Terms from time to time. We will post the updated version and change the "Last updated" date. Material changes will be notified where required, and your continued use after changes take effect means you accept them.
22. Governing law and disputes
These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of its courts. Before starting proceedings, the parties will try in good faith to resolve any dispute, including by raising it in writing and meeting to discuss it.
23. General
- If any part of these Terms is unenforceable, the rest continues to apply.
- Our failure to enforce a term is not a waiver of it.
- You may not assign these Terms without our consent. We may assign them as part of a business transfer.
- These Terms, together with any order and our Privacy Policy, are the entire agreement between us on this subject.
- Neither party is liable for delay or failure caused by events beyond its reasonable control.
